Consideration of Amendments to WakeMed’s Articles of Incorporation and Second Amendment to Transfer Agreement
Recommended Action
That the Board of Commissioners:
Will consider WakeMed’s requested amendments to its Articles of Incorporation and a Second Amendment to Transfer Agreement as required in connection with the proposed combination between WakeMed and Atrium Health; and
Contingent on approval by the Board, the Chair will be authorized to execute Amended and Restated Articles of Incorporation and a Second Amendment to Transfer Agreement, subject to the terms and conditions set forth herein, any federal regulatory approvals, and any other terms and conditions required by the County Attorney.
